This Service Agreement ("Agreement") is entered into between Webvanta Innovation (referred to as "Company," "We," "Us," or "Our") and the individual or entity engaging our services (referred to as "Client," "You," or "Your"). By accessing our services, submitting a project inquiry, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

01 Acceptance of Terms

By engaging Webvanta Innovation for any service, you confirm your agreement to these Terms and Conditions. If you do not agree with any part of these terms, you must discontinue the use of our services immediately. These terms may be updated periodically, and continued use of our services constitutes acceptance of any modifications.

02 Scope of Professional Services

Webvanta Innovation specializes in delivering cutting-edge digital solutions tailored to elevate your business presence. Our comprehensive service portfolio includes:

  • Custom Web Development: Creation of responsive, high-performance websites using the latest industry standards including HTML5, CSS3, JavaScript, and modern frameworks.
  • E-commerce Solutions: Expert development and configuration of online stores on platforms such as Shopify, WooCommerce, and custom-built solutions with secure payment gateway integration.
  • Content Management Systems: Specialized theme development, plugin customization, and optimization for WordPress and other leading CMS platforms.
  • Search Engine Optimization (SEO): Comprehensive on-page, off-page, and technical SEO strategies designed to improve organic search rankings and drive qualified traffic.
  • Digital Marketing: Strategic campaigns including social media marketing, pay-per-click advertising, content marketing, and email marketing automation.
  • Brand Identity & Design: Logo design, brand guidelines, UI/UX design, and complete visual identity development.
  • Website Maintenance & Support: Ongoing technical support, security updates, performance optimization, and content updates.

Services not explicitly mentioned but requested by the Client will be evaluated on a case-by-case basis and require a separate quotation and agreement.

03 Project Timeline & Deliverables

Project timelines are estimated based on the scope of work defined in the proposal or quotation. Webvanta Innovation commits to:

  • Providing realistic delivery estimates for each project milestone during the initial consultation.
  • Regular progress updates through email, project management tools, or scheduled meetings.
  • Delivering work in agreed-upon phases to facilitate Client review and feedback.
  • Making reasonable efforts to adhere to project deadlines, understanding that timelines may be affected by Client delays in providing content, feedback, or approvals.

Important: Project timelines assume timely Client cooperation. Delays caused by late feedback, content delivery, or approvals may result in revised delivery dates. We will communicate any timeline adjustments promptly.

04 Payment Terms & Conditions

Clear and fair payment terms ensure smooth project execution. The following payment protocols apply to all services:

  • Project Initiation: A non-refundable deposit ranging from 30% to 50% of the total project cost is required before work commences. The exact percentage will be specified in your quotation.
  • Milestone Payments: For projects exceeding ₹50,000 or 30 days in duration, payment may be structured in milestones as outlined in the project proposal.
  • Final Payment: The remaining balance must be paid in full before the final deliverables are released, domain transfer is initiated, or the website goes live.
  • Recurring Services: For ongoing services such as SEO, digital marketing, or maintenance packages, monthly or quarterly fees must be paid in advance before the service period begins.
  • Accepted Payment Methods: We accept payments via bank transfer, UPI, credit/debit cards, and online payment gateways. International clients may use PayPal or wire transfer.
  • Late Payment Policy: Invoices are due within 7 days of issuance unless otherwise agreed. Payments delayed beyond 15 days may incur a late fee of 2% per week and may result in suspension of services, hosting, or support until full payment is received.
  • Currency: All prices are quoted in Indian Rupees (INR) unless specified otherwise for international clients.

05 Client Responsibilities & Cooperation

Successful project outcomes depend on mutual collaboration. The Client agrees to fulfill the following responsibilities:

  • Timely Content Delivery: Provide all required text, images, logos, product information, and other content within the agreed timeline. Delays in content provision will extend project delivery dates accordingly.
  • Constructive Feedback: Review deliverables and provide clear, consolidated feedback within 3-5 business days of each milestone submission.
  • Access & Credentials: Provide necessary access to hosting accounts, domain registrars, third-party platforms, and any other systems required for project completion. Ensure credentials are accurate and functional.
  • Decision Making: Approve designs, layouts, and functionality in a timely manner to prevent project delays.
  • Legal Compliance: Ensure that all content, images, and materials provided to Webvanta Innovation are legally owned by the Client or properly licensed for commercial use.
  • Communication: Maintain open and responsive communication throughout the project lifecycle.

06 Intellectual Property Rights

Clarity on ownership rights is essential for both parties:

  • Client Ownership: Upon receipt of full and final payment, the Client owns all custom code, designs, graphics, and content specifically created for their project.
  • Third-Party Assets: Any third-party resources including stock photos, premium plugins, themes, fonts, or software remain subject to their original licensing agreements. The Client is responsible for renewing licenses as needed.
  • Open Source Components: Websites built on platforms like WordPress or using open-source frameworks retain their respective licenses (e.g., GPL license for WordPress).
  • Portfolio Rights: Webvanta Innovation reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials unless a non-disclosure agreement is in place.
  • Pre-existing IP: Any pre-existing intellectual property, methodologies, or proprietary tools used by Webvanta Innovation remain the exclusive property of the Company.

07 Revisions & Modifications

We want you to be completely satisfied with the final product. Our revision policy includes:

  • Included Revisions: Each project includes a specified number of revision rounds as outlined in the proposal (typically 2-3 rounds for design and 1-2 for development).
  • Scope Changes: Requests that fall outside the original scope of work, such as additional pages, features, or functionality, will be quoted separately and require Client approval before implementation.
  • Revision Timeline: Revision requests must be submitted within 14 days of milestone delivery. Requests beyond this period may be subject to additional fees.
  • Major Overhauls: Complete redesigns or fundamental changes to approved concepts will be treated as new projects and billed accordingly.

08 Hosting, Domain & Third-Party Services

Webvanta Innovation can assist with or manage various technical services:

  • Domain Registration: We can register domains on behalf of clients, but the Client retains full ownership. Domain renewal is the Client's responsibility unless covered under a maintenance agreement.
  • Web Hosting: We offer hosting recommendations and setup assistance. Clients may choose their own hosting provider or use our managed hosting services for an additional fee.
  • Third-Party Integrations: Integration with payment gateways, email marketing platforms, CRMs, or other third-party services may incur additional costs based on complexity.
  • SSL Certificates: We recommend and can install SSL certificates for security. Renewal and management responsibilities depend on the hosting arrangement.

09 Website Maintenance & Support

Post-launch support ensures your digital assets remain secure and functional:

  • Warranty Period: We provide 30 days of complimentary bug fixes and technical support following project completion for issues directly related to our work.
  • Ongoing Maintenance: Long-term maintenance packages are available and include regular backups, security updates, plugin/theme updates, and performance monitoring.
  • Emergency Support: Critical issues affecting website functionality will be addressed promptly. Response times vary based on the support plan purchased.
  • Exclusions: Support does not cover issues arising from Client modifications, third-party plugin conflicts, hosting provider failures, or attacks/hacks resulting from negligent security practices.

10 Confidentiality & Data Protection

We take your privacy and data security seriously:

  • Confidential Information: All business information, proprietary data, and project details shared by the Client will be kept strictly confidential and used solely for project purposes.
  • Data Security: We implement industry-standard security measures to protect Client data during development and storage.
  • No Data Selling: We do not sell, trade, or distribute Client information to third parties for marketing purposes.
  • GDPR Compliance: For international clients, we adhere to applicable data protection regulations including GDPR where relevant.

11 Cancellation, Refunds & Termination

We strive for successful partnerships, but understand that circumstances may change:

Non-Refundable Deposits:

Initial deposits are non-refundable as they cover administrative costs, project planning, initial research, and resource allocation. Once work has commenced, the deposit is considered earned.

  • Client-Initiated Cancellation: Clients may cancel a project at any time by providing written notice. However, payment for all completed work up to the cancellation date is due, and the deposit is forfeited.
  • Company-Initiated Termination: Webvanta Innovation reserves the right to terminate a project if the Client violates these terms, engages in abusive behavior toward our team, provides fraudulent information, or fails to make timely payments.
  • Refunds for Ongoing Services: Monthly or recurring services may be cancelled with 30 days' written notice. No refunds are provided for partial months or services already rendered.
  • Partial Project Completion: In the event of cancellation, the Client will receive all work completed up to that point in its current state, subject to full payment for work performed.

12 Limitation of Liability

While we maintain the highest standards of quality, certain limitations apply:

  • Service Limitations: Webvanta Innovation is not liable for business losses, revenue loss, data loss, or indirect damages resulting from website downtime, hosting issues, or third-party platform changes.
  • Third-Party Dependencies: We are not responsible for failures or changes made by third-party platforms (e.g., Google algorithm updates, Shopify policy changes, payment gateway issues).
  • Client Modifications: Any website malfunctions, security breaches, or errors resulting from Client-side edits, unauthorized plugin installations, or theme modifications after project handover are not our responsibility.
  • Maximum Liability: Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service in question.
  • SEO & Marketing Results: While we employ proven strategies, we cannot guarantee specific search engine rankings, traffic volumes, conversion rates, or ROI, as these depend on numerous external factors beyond our control.

13 Force Majeure

Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, strikes, or acts of terrorism.

14 Warranties & Disclaimers

  • Quality Assurance: We warrant that all services will be performed with professional skill and care in accordance with industry standards.
  • Browser Compatibility: Websites are tested on major modern browsers (Chrome, Firefox, Safari, Edge). Legacy browser support requires additional discussion and may incur extra costs.
  • No Guarantee of Results: We do not guarantee specific business outcomes, sales, leads, or conversion rates as these depend on numerous external factors.
  • Third-Party Services: We provide services "as-is" concerning third-party plugins, themes, and platforms and disclaim warranties related to their performance or availability.

15 Indemnification

The Client agrees to indemnify and hold harmless Webvanta Innovation, its employees, and contractors from any claims, damages, or legal costs arising from:

  • Content provided by the Client that infringes on third-party intellectual property rights.
  • Client's use of the website or services in violation of applicable laws.
  • Client's unauthorized modifications to delivered work that result in legal or technical issues.

16 Dispute Resolution

In the unlikely event of a dispute:

  • Good Faith Negotiation: Both parties agree to first attempt resolution through direct, good-faith discussions.
  • Mediation: If direct negotiation fails, the parties agree to pursue mediation before resorting to litigation.
  • Jurisdiction: Any legal disputes that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

17 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising from or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

18 Amendments to Terms

Webvanta Innovation reserves the right to update or modify these Terms and Conditions at any time. Material changes will be communicated to active clients via email or through notifications on our website. Continued use of our services following any amendments constitutes acceptance of the revised terms.

19 Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20 Entire Agreement

These Terms and Conditions, along with any project-specific proposals, quotations, or contracts, constitute the entire agreement between Webvanta Innovation and the Client. They supersede all prior discussions, agreements, or understandings, whether written or oral.
